The Contracts Specialist will be responsible for supporting the drafting and negotiation of contracts in the Bioproduction Division of Thermo Fisher Scientific’s Life Sciences Group. The primary focus will be driving the negotiation and execution of quality and related commercial agreements to support the Bioproduction Division business. The Contract Specialist will also be expected to support the Divisional Contracts Attorney with all aspects of her contracts workload.
This position will be responsible for drafting and negotiating to execution various legal agreements, with an initial primary focus on quality agreements and related commercial agreements, while providing secondary support for technology transfer agreements, confidentiality/non-disclosure agreements (CDAs/NDAs), material transfer agreements (MTAs), and consulting services agreements. Experience with bids/tenders and other forms of commercial contracts would be beneficial.
Specific duties include:
- Review, draft and negotiate Quality Agreements for Bioproduction customers/sites
- Review, draft and negotiate Supply Agreements, Services Agreements, Sourcing/Procurement Agreements, and Terms and Conditions of Sale
- Manage Requests for Proposal/Requests for Quotation responses for the United States (and coordinate responses to same with regional Legal team members outside the United States)
- Assist with preparation of agreement summary sheets to track key customer supply and quality agreement terms in database
- Coordinate with Contracts Manager on customer questions, requests, and agreement terms
- Assist with integrations and collaborations within Thermo Fisher Scientific and with third parties
- Work with Regulatory, the Contract Management & Analysis, and Quality teams to provide legal diligence/support for off-label, custom product use requests
- Provide training to internal clients on a variety of contract-related and other legal topics, including terms and conditions, Division sales approach, etc.
- Support and coordinate review of customer investigations/notifications
For technology transfer agreements, the Contracts Specialist will use contracts automation software (ContractExpress), and work from established agreement templates. Training will be provided on ContractExpress, but comfort with using software and databases to store and manage agreements is essential. For other contracts, the Contracts Specialist will work with templates provided by Divisional Contracts Attorneys. The Contracts Specialist will also be expected to work with Divisional Contract Attorneys to maintain and improve current contract templates.
The Contracts Specialist will act as point of contact for internal and external customers on contractual matters to ensure timely review and approval/reconciliation of contract modifications. The Contracts Specialist will draft contract amendments and negotiate directly with external customers, interfacing with internal counsel as required.
The Contracts Specialist will maintain contractual records and documentation using two legal databases (eCounsel, iManage).
Nature and Scope
This position interacts with external customers, Divisional Contracts Attorneys, Research and Development, Product Managers, Licensing and Commercial Supply, Sales, Procurement, Finance, Operations, other Contracts Specialists, and upper management.
Works in an office environment. May, on a continuous basis, sit at desk for a long period of time, intermittently answer telephone and frequently use the computer. Some walking and lifting up to 20 lbs. may be required. The noise level in the work environment is usually low to moderate. Must be flexible to work hours as needed. Bachelors Degree in Business Administration, Contracts Administration or a Legal qualification such as a JD or a Paralegal.
2 to 3 years of directly applicable experience in a contracts specialist or a contracts administration role would be beneficial.
